This Intellectual Property Agreement ("Agreement") is made between Destiel (the "Organization") and the undersigned volunteer (the "Volunteer"). This Agreement outlines the terms and conditions regarding the ownership and use of intellectual property created by the Volunteer during their service with the Organization.
Intellectual Property: Includes all materials, content, and work products created by the Volunteer during their service with the Organization. This includes but is not limited to written content, graphics, designs, software, inventions, and any other creative works.
The Volunteer agrees that all Intellectual Property created during their service with the Organization is the exclusive property of Destiel. This includes any Intellectual Property created using the Organization's resources, on the Organization's premises, or within the scope of the Volunteer’s role.
The Volunteer hereby assigns and transfers to Destiel all rights, title, and interest in and to the Intellectual Property. This assignment includes but is not limited to all copyrights, patents, trade secrets, and any other proprietary rights.
The Volunteer waives all moral rights in the Intellectual Property in favor of Destiel. This waiver allows Destiel to use, modify, and adapt the Intellectual Property without seeking further consent from the Volunteer.
The Volunteer agrees to maintain the confidentiality of all Intellectual Property and not disclose any confidential information related to the Intellectual Property without the prior written consent of Destiel. This obligation continues even after the termination of the Volunteer’s service.
Destiel reserves the right to use, modify, reproduce, distribute, and publicly display the Intellectual Property for any purpose without further compensation to the Volunteer. This includes but is not limited to promotional, marketing, and educational purposes.Volunteers are prohibited from changing login credentials or account settings for any online subscriptions or shared accounts provided by the Organization. Unauthorized changes or misuse of these accounts may result in termination and legal actions.
The Volunteer acknowledges that they will not receive any monetary compensation or royalties for the Intellectual Property. The Volunteer’s contribution is recognized as part of their voluntary service to Destiel.
This Agreement remains in effect during the Volunteer’s service with the Organization and continues indefinitely with respect to any Intellectual Property created during that time.
This Agreement is governed by and construed in accordance with the laws of the jurisdiction in which Destiel operates.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings, and representations.
By signing below, the Volunteer acknowledges that they have read, understood, and agree to the terms and conditions of this Intellectual Property Agreement.
