Destiel Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is made between Destiel ("Organization") and the volunteer ("Volunteer") who agrees to the following terms:

1. Purpose

The purpose of this Agreement is to protect confidential and proprietary information shared with the Volunteer during their engagement with Destiel.

2. Definition of Confidential Information

Confidential Information refers to any data or information that is proprietary to the Organization and not generally known to the public. This includes, but is not limited to, business strategies, financial information, technical data, research and development, proprietary processes, and any other information designated as confidential.

3. Obligations of the Volunteer

The Volunteer agrees to use the Confidential Information solely for the purpose of fulfilling their duties with Destiel.
The Volunteer will not disclose Confidential Information to any third party without the prior written consent of the Organization.
The Volunteer will take all necessary precautions to prevent unauthorized disclosure of Confidential Information.
The Volunteer agrees to return or destroy all Confidential Information upon termination of their engagement with Destiel or upon request by the Organization.

4. Exclusions from Confidential Information

Confidential Information does not include information that:

Is or becomes publicly known through no wrongful act of the Volunteer.
Is received from a third party without breach of any obligation of confidentiality.
Is independently developed by the Volunteer without use of or reference to the Organization's Confidential Information.
Is disclosed with the Organization's prior written consent.

5. Legal Obligations

If the Volunteer is required by law to disclose Confidential Information, they must provide the Organization with prompt notice of such requirement so that the Organization may seek an appropriate protective order or waive compliance with the terms of this Agreement.

6. No License

Nothing in this Agreement grants the Volunteer any rights to or interest in the Organization's Confidential Information, except as necessary to fulfill their duties as a volunteer.

7. Intellectual Property

All intellectual property developed or created by the Volunteer during their engagement with Destiel, including but not limited to reports, documents, and presentations, shall be the sole property of Destiel.
The Volunteer agrees not to use any intellectual property created during their engagement for any purpose other than their work with Destiel.

8. Use of Online Subscriptions and Shared Accounts

Volunteers are prohibited from changing login credentials or account settings for any online subscriptions or shared accounts provided by the Organization.
Unauthorized changes or misuse of these accounts may result in termination and legal actions.

9. Term

This Agreement shall remain in effect for the duration of the Volunteer's engagement with Destiel and shall survive the termination of the engagement.

10. Acknowledgment and Acceptance

By signing below, the Volunteer acknowledges that they have read, understood, and agree to abide by the terms of this Non-Disclosure Agreement.
